Terms of Service
Version 1.0 — effective from launch
Article 1 — Purpose and scope
Section titled “Article 1 — Purpose and scope”These Terms of Service govern the relationship between the publisher of Scribe Local (hereinafter “the Publisher”) and any individual or legal entity that has acquired a licence to use the Scribe Local software (hereinafter “the Client”).
Scribe Local is a legal drafting assistant that runs entirely locally on the Client’s machine. It is not a SaaS service.
Article 2 — Licence
Section titled “Article 2 — Licence”2.1 Scope. The Publisher grants the Client a personal, non-exclusive licence to use Scribe Local on one (1) workstation per licence, for the duration of the licence period.
2.2 Duration. The licence is annual. It renews automatically unless cancelled by email before the expiry date. Renewal includes access to application and AI model updates published during the period.
2.3 Restrictions. The Client shall not: (i) sublicence, resell or transfer the licence without prior written consent; (ii) decompile or reverse-engineer the software beyond what is permitted by law; (iii) use the software for unlawful purposes.
2.4 One licence, one seat. The licence is granted personally, for a single workstation, and may not be transferred to a third party or used simultaneously on several computers. To transfer the licence to a new machine (hardware change, reinstall), the Client contacts the Publisher, who verifies the order before issuing a new certificate.
Article 3 — Price and payment
Section titled “Article 3 — Price and payment”3.1 Price. The licence is offered at €390 per year per seat (excl. VAT).
3.2 Payment. Payment is made via LemonSqueezy (Merchant of Record), which handles VAT, receipts and tax compliance.
3.3 Multi-seat discount. From 5 seats: −15%. From 10 seats: −25%. The discount applies to orders placed in a single transaction.
3.4 Renewal. A reminder email is sent 30 days before expiry. Absent cancellation, renewal is charged automatically.
Article 4 — Free trial
Section titled “Article 4 — Free trial”4.1 Duration. The Publisher offers a 14-day trial from first launch, with no registration or credit card required.
4.2 Features. The trial includes full access to all features.
4.3 Identification. The trial is identified by a local machine fingerprint (not transmitted). Non-transferable, non-renewable on the same machine.
Article 5 — Drafting assistant — liability limitation
Section titled “Article 5 — Drafting assistant — liability limitation”5.1 Qualification. Scribe Local is a drafting assistant. It does not provide legal advice. Documents produced are proposals that the Client must review, correct, and validate before any professional use.
5.2 Lawyer’s responsibility. The lawyer remains solely responsible for the documents they produce and sign.
5.3 Limitation. The Publisher’s liability is limited to the current annual licence amount at the time of the incident.
5.4 Exclusions. The Publisher is not responsible for consequences of uncorrected inaccurate transcriptions, non-compliant use, or data loss on the Client’s machine.
Article 6 — Privacy and data
Section titled “Article 6 — Privacy and data”6.1 Case data. No case data (transcriptions, documents, RAG content) transits through the Publisher’s servers. Processing is entirely local.
6.2 Management data. The Publisher processes only data necessary for issuing the licence certificate and billing (email, licence status). The machine fingerprint never leaves the Client’s computer — licence verification is entirely local. Legal basis: GDPR Art. 6.1.b.
6.3 Sub-processors. Contabo GmbH (hosting for certificate issuance — Germany, EU) and LemonSqueezy (payment — United States, DPA signed, Standard Contractual Clauses). Neither sub-processor handles client case data.
Article 7 — Updates
Section titled “Article 7 — Updates”Application and AI model updates are included in the annual licence. The installed Client continues to work with the current version in case of CDN unavailability.
Article 8 — Termination
Section titled “Article 8 — Termination”8.1 By the Client. At any time by email to [email protected], effective at the end of the current annual period. No prorated refund except for serious Publisher fault.
8.2 By the Publisher. For serious, uncorrected breach after 15-day notice.
Article 9 — Governing law
Section titled “Article 9 — Governing law”French law governs these Terms. In case of dispute, the parties will seek an amicable resolution. Failing that, the competent French Commercial Court shall have jurisdiction.
